Terms of Service

Welcome to ThreadPatrol! These Terms of Service ("Terms") govern your access to and use of the ThreadPatrol Slack bot and any related services (collectively, the "Service") provided by us.

By installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, do not install or use the Service.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.

1. Description of Service

ThreadPatrol is a Slack bot designed to enhance channel organization and readability within Slack workspaces. Its primary function is to monitor messages in designated channels and intelligently identify messages that, based on their content and context (using recency rules and AI-powered semantic analysis via Google Gemini), would be better suited as replies within existing discussion threads. The Service provides suggestions to users, who can then choose to move the message or dismiss the suggestion. The Service copies messages to new thread locations upon user approval; it does not automatically delete original user messages.

2. Slack Account and Workspace

To use ThreadPatrol, you must have a valid Slack account and be authorized to install applications to your Slack workspace(s). You are responsible for all activities that occur under your Slack workspace in connection with the Service. You agree to maintain the security of your Slack account and to comply with Slack's own Terms of Service and policies.

3. Pricing and Subscription Terms

The Service is offered on a subscription basis. The following terms apply:

  • Subscription Required: Access to the Service requires an active, paid subscription.
  • Billing and Payment: All subscriptions, billing, and payment processing will be managed through the Slack App Directory and its designated payment partners.
  • Service Interruption: If a subscription becomes inactive due to non-payment or cancellation, ThreadPatrol will cease its core functionalities for your workspace.
  • Refunds: Subscription fees are non-refundable, except as expressly permitted by Slack's refund policies or as required by applicable law.
  • Automatic Renewal: Subscriptions automatically renew unless cancelled before the end of the billing period. You may cancel your subscription at any time through the Slack App Directory.

Service Communications: By installing the Service, you consent to receive service-related electronic communications at the email address associated with your Slack account. These communications include account setup, billing notifications, security alerts, and essential service updates. You may not opt out of these essential communications while using the Service. Marketing communications, if any, require separate opt-in consent.

4. User Responsibilities and Acceptable Use

You agree to:

  • Comply with all applicable laws and regulations in connection with your use of the Service.
  • Comply with Slack's Terms of Service and Acceptable Use Policy.
  • Be solely responsible for the content of messages processed by ThreadPatrol within your workspace.
  • Not misuse the Service, including but not limited to: attempting to circumvent subscription limitations, interfering with its operation, or using it for any unlawful purpose.

5. Intellectual Property Rights

  • Our Service: We (ThreadPatrol) own all right, title, and interest in and to the Service, including all related intellectual property rights.
  • Your Data: You (or your Organization) retain all ownership rights to the content of your Slack messages and any data originating from your Slack workspace.

6. Privacy

Your privacy is important to us. Our collection and use of information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy describes your rights under applicable privacy laws including the GDPR (for EEA/UK users) and CCPA (for California residents). To the extent we process Personal Data on your behalf, the Data Processing Addendum (DPA) available at thread-patrol.com/dpa is hereby incorporated by reference into these Terms.

7. Third-Party Services

ThreadPatrol relies on and interoperates with third-party services, including:

  • Slack: The core platform for the Service.
  • Google Cloud Platform (Vertex AI / Gemini): Used for AI-powered message analysis.
  • Amazon Web Services (AWS): Used for hosting our application and storing operational data.

We are not responsible for the practices of these third-party services, and your use of them is at your own risk.

8. Service Availability and Modifications

We will use reasonable efforts to make the Service available. However, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THREADPATROL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless ThreadPatrol and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to, use of, or alleged use of the Service.

11. Termination

  • By You: You may terminate your agreement to these Terms at any time by uninstalling the ThreadPatrol application from all of your Slack workspaces.
  • By Us: We may suspend or terminate your access to and use of the Service, at our sole discretion, at any time and without notice to you.
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Valencia, Spain by arbitration or in a court of competent jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on this website and update the "Effective Date" at the top. Your continued use of the Service after such changes become effective constitutes your acceptance of the new Terms.
